Welcome, and thank you for your interest in Graybox ("Company", "we," or "us") and our website at https://graybx.com/, along with our related websites, other downloadable applications, and other services provided by us (collectively, the "Service").

These Terms of Service are a legally binding contract between you and Graybox regarding your use of the Service.

Who We Are

GRAYBOX is a software company building an MLOps platform for AI model training. Our Services are provided by GRAYBOX SAS, a French société par actions simplifiée, whose registered office is located 28, avenue des Pépinières, 94260 Fresnes, registered with the trade and companies registry under number 941 934 747 (SIREN).

Content

Your Content. You may provide input to the Services ("Input"), and receive output from the Services based on the Input ("Output"). Input and Output are collectively "Content". You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licences, and permissions needed to provide Input to our Services.

Ownership of Content. As between you and Graybox, and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Our use of content. We can use your Content worldwide to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies and keep our Services safe.

‍Robustness of produced solution. While we keep improving the technology, use of our Services may lead to solutions that are not robust as human experts produce. And, given the probabilistic nature of machine learning, the solution model can produce inaccurate predictions when deployed. It is your responsibility to evaluate the solution for appropriateness for your use case.

Using Our Services

What You Can Do. Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws as well as the service-specific terms and policies listed above.

What You Cannot Do. You may not use our Services for any illegal, harmful, or abusive activity.

BY USING THE SERVICE, YOU AGREE NOT TO:

- Use the Service for any illegal purpose or in violation of any local, state, national, or international law;
- Engage in any conduct that is illegal, threatening, deceptive, or defamatory or promote violence;
- Attempt to "hack," access, interfere with, or connect to the services and/or any computer without authorization;
- Harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Service;
- Violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
- Interfere with security-related features of the Service, including by: disabling or circumventing features that prevent or limit use, printing, or copying of any content; or reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
- Interfere with the operation of the Service or any user's enjoyment of the Service, including by: uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; making any unsolicited offer or advertisement to another user of the Service; collecting personal information about another user or third party without consent; or interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
- Perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation or identity, accessing any other Service account without permission, or falsifying your age or date of birth;
- Sell or otherwise transfer the access granted under these Terms or any Materials (or any right or ability to view, access, or use any Materials;
- Attempt to do any of the acts described in this section or assist, encourage or permit any person in engaging in any of the acts described in this section;
- Use the Service to carry out any practices that are prohibited under Article 5 of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689) ("AI Act") or that qualify as high-risk under Article 6 of the AI Act, or change the Service into a High-Risk AI System as this terms is defined in the AI Act; or
- Use the Service to engage in any of the following practices:
a. Using subliminal, manipulative, or deceptive techniques that distort a person's behavior so that they are unable to make informed decisions in a way that is likely to cause harm;
b. Exploiting any vulnerabilities of individuals related to age, disability, or socio-economic circumstances;
c. Creating or expanding facial recognition databases;
d. Conducting biometric identification;
e. Evaluating or classifying individuals based on their social behavior or personal traits (including social scoring or predictive profiling) leading to detrimental or unfavorable treatment;
f. Assessing or predicting the risk of an individual committing a criminal offense;
g. Inferring an individual's emotions; or
h. Categorizing individuals based on their biometric data.

We reserve the right to restrict your use of our Services if we detect attempts to use the system for the misuse of our service.

Feedback. We respect and appreciate the thoughts and comments from our users. If you choose to provide input and suggestions regarding existing functionalities, problems with or proposed modifications or improvements to the Service ("Feedback"), then you hereby grant Graybox an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose, including to improve the Service and create other products and services. We will have no obligation to provide you with attribution for any Feedback you provide to us.

Ownership; Proprietary Rights. The Service is owned and operated by Graybox. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service provided by Graybox ("Materials") are protected by intellectual property and other laws. All Materials included in the Service are the property of Graybox or its third-party licensors. Except as expressly authorized by Graybox, you may not make use of the Materials. There are no implied licenses in these Terms and Graybox reserves all rights to the Materials not granted expressly in these Terms.

Trial Period

Trial Terms. If you receive access to the Service or features thereof on a free, trial, pilot, evaluation, alpha, beta, or early access basis (the "Trial"), use is permitted only for your internal evaluation during the period designated by Graybox. The Trial is optional and either party may terminate the Trial at any time for any reason. The Trial may be inoperable, incomplete, or include features that Graybox may never release, and their features and performance information are Graybox's confidential information.

‍NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT, GRAYBOX PROVIDES NO WARRANTY, INDEMNITY, OR SUPPORT FOR THE TRIAL, AND ITS LIABILITY FOR THE TRIAL WILL NOT EXCEED USD $50.

Our Commitments to You

How We Provide the Services. We commit to provide the Services to you with reasonable skill and care and to act with professional diligence. We do not promise to offer the Services forever or in their current form for any particular period of time.

Liability. Provided that we have acted with professional diligence, we do not take responsibility for loss or damage caused by us, unless it is:
- Caused by our breach of these Terms or
- Reasonably foreseeable at the time of entering into these Terms.

We do not take responsibility for loss or damage caused by events beyond our reasonable control. We do not exclude or limit our liability to you in any way where it would be unlawful for us to do so. You still have the full protections of the laws applicable to you.

Statutory Rights. You have certain statutory rights that cannot be limited or excluded by a contract like these Terms or that you are legally entitled to, for example, by virtue of being a consumer. These Terms are in no way intended to affect or restrict those rights.

General Terms

Assignment. You may not assign or transfer any rights or obligations under these Terms. We may assign or transfer our rights or obligations under these Terms to any affiliate or subsidiary or any successor in interest of any business associated with our Services. If we do, any rights you have as a consumer will not be affected. If you are not satisfied, you have the right to terminate your relationship with Graybox and stop using our Services at any time.

Modification of Terms. We are continuously working to develop and improve our Services. We may update these Terms or our Services accordingly from time to time. Please check these Terms periodically for changes. Revisions will be effective immediately except that, for existing users, material revisions will be effective 30 days after posting or notice to you of the revisions unless otherwise stated. We may require that you accept modified Terms in order to continue to use the Service. If you do not agree to the modified Terms, then you should discontinue your use of the Service.

Changes to the law or regulatory requirements:
- Security or safety reasons.
- Circumstances beyond our reasonable control.
- Changes we make in the usual course of developing our Services.
- To adapt to new technologies.

Any changes will only apply to our relationship going forward. If you do not agree to the changes, you must stop using our Services.

Delay in Enforcing These Terms. If we or you delay enforcing a provision of these Terms, either of us can still enforce it later, and it will not prevent us or you from taking steps against the other at a later date. If any part of these Terms is determined to be invalid or unenforceable, it will not affect the enforceability of any other part of these Terms.

Trade Controls. You must comply with all applicable trade laws, including sanctions and export control laws. Our Services may not be used in or for the benefit of, or exported or re-exported to (a) any U.S. embargoed country or territory or (b) any individual or entity with whom dealings are prohibited or restricted under applicable trade laws. Our Services may not be used for any end use prohibited by applicable trade laws, and your Input may not include material or information that requires a government licence for release or export.

Governing Law. This Agreement shall be governed by French law. Any conflict or dispute related to the validity, the interpretation, performance, and/or termination of the Agreement must be submitted to the exclusive jurisdiction of the competent courts of Paris.
